Imoniu grupe ALITA, AB - Notification on material event

Regarding decision of the board of the Group of Companies ALITA, AB

The board of the Group of Companies ALITA, AB on 20 May 2010 resolved to sell
10,000 (ten thousand) ordinary registered shares owned by the Company in UAB
Alita distribution, incorporated and operating in the procedure prescribed by
laws of the Republic of Lithuania, the data of which are collected and kept
with the Register of Legal Entities of the Republic of Lithuania, legal
entity's code 1514 61114, registered address A. Goštauto g. 12A, Vilnius,
Republic of Lithuania, to the potential buyer Lithuanian - USA joint venture
Sanitex (the company incorporated and operating in the procedure prescribed by
laws of the Republic of Lithuania, the data of which are collected and kept
with the Register of Legal Entities of the Republic of Lithuania, legal
entity's code 110443493, registered address Raudondvario pl. 131, Kaunas,
Republic of Lithuania) (the “Buyer”), under the terms, conditions and for the
price to be coordinated and agreed between the Company's head (or his
authorised person) and the Buyer during negotiations, recording the negotiation
results in the documents peculiar to such transactions. 
Paulius Kibiša, managing director of the Company, and/or his authorised person
is assigned to conduct negotiations on behalf of the Company concerning
coordination of the conditions of the sale - purchase transaction in respect of
shares in UAB Alita distribution (including the price), to record the
negotiation results in the documents peculiar to such transactions, to conclude
on behalf of the Company such transaction and sign all other documents related
to the conclusion of such transaction, as well as to perform all other actions
in order to implement the board decision. The managing director must constantly
keep informed the board members by e-mail about the course of negotiations and
the attained results in respect of conclusion of the transaction.
