Agrowill Group AB - Notification on material event

Agrowill Group intends to acquire Grūduva

The largest in Lithuania agricultural investment and development 
company Agrowill Group AB intends to acquire one of the most modern 
agricultural companies in Lithuania -   Grūduva UAB. The scheduled 
date of signing a share subscription agreement is 20 June, 2008. 
After signing the agreement, an application will be filed with the 
Competition Council for authorization to implement concentration. 
The execution of the transaction will be finalized after the receipt 
of authorization from the Competition Council.

Based on audited data, net non-consolidated income of Grūduva UAB 
amounted to 16.18 million litas (4.7 million EUR), whereas EBITDA 
reached 7.58 million litas (2.2 million EUR). Net profit of the 
company was equal to 4.94 million litas in 2007 (1.4 million EUR).

The Company, which employs 117 persons, controls over 4 thousand 
hectares of land. The cow herd kept, which is being increased every 
year, exceeded 800 heads last year. On average, 6 tons of milk is 
produced annually per cow.
