CHANGES IN DIGIA'S BOARD OF DIRECTORS Composition of Digia Plc's Board is proposed to be changed after the Annual General Meeting to be held on 3 March 2010. As stated in the summons to Annual General Meeting published earlier today, the Board's Nomination Committee proposes to the Annual General Meeting that the current Board members Kari Karvinen, Pertti Kyttälä, Martti Mehtälä ja Pekka Sivonen will be re-elected as Board members for the term ending upon the close of Annual General Meeting 2011. Nomination Committee also proposes that the following new members will be elected to Digia's Board: Robert Ingman (born 1961), M.Sc. (Eng.), M.Sc. (Econ.), CEO, Arla Ingman Oy Ab. CEO in Ingman Group Oy Ab and in Ingman Foods Oy Ab in 1997-2006. Chairman of the Board in Ingman Group Oy Ab. Member of the Board in Etteplan Oyj. Tommi Uhari (born 1971), M.Sc. (Eng.), Senior Vice President, ST-Ericsson Plc. Several management positions in ST-Ericsson since 2006. Director of Wireless and SW platforms -unit in Nokia during the years 1999-2006. Marjatta Virtanen (born 1950), M.Sc. (Econ.), CEO, IR-consultant, IRMA Advisors Oy. Market Supervisor in Financial Supervisory Authority 2006-2009, Head of communications and consultant for several companies since 1984 (e.g. Oy Hartwall Ab and Tamro Group). Main shareholders representing over 50,4 % of the voting rights of the shares in the company have announced that they will support the above mentioned proposal. In addition, Digia Plc's Chairman of the Board will change as Pekka Sivonen, who has led Digia's Board for the past five years, has informed the company that he will no longer be available for the chairman's position in the new Board. “When Sysopen Oyj and Digia Oy merged in Spring 2005, the management of the new company wanted to be strengthened to boost the growth and integration of the company. The conclusion drawn then was that I was appointed as the full-time Chairman of the Board for the merged company. A lonf time has passed since those days, and at the latest the passed year 2009 has clearly shown that the objectives set five years ago have been fulfilled and the company is currently in steady hands. During the past year the committed and transparent ownership of Digia Plc has also expanded considerably. That being the case, I have decided that I am no longer available for the chairman's position in the new Board, but move to the role of an ordinary Board member and an investor as Digia's biggest shareholder” states Pekka Sivonen, the founder of Digia Oy. Sivonen will continue as the full-time Chairman of the Board until the Annual General Meeting pursuant to the terms of his current employment agreement. Expiry of the employment agreement carries no payment obligations for the company. Moreover, the main shareholders representing over 50,4 % of the voting rights of the shares in the company have announced to Digia's Board that that they will recommend the current Vice-Chairman of the Board Pertti Kyttälä to be appointed as the new Chairman of the Board, and Martti Mehtälä to be appointed as the new Vice-Chairman.
