Utenos Trikotazas AB - Notification on material event

Decisions of the Annual General Meeting of Shareholders to be held on 28 April 2011 


  The Annual General Meeting of Utenos trikotazas, AB (hereinafter ‘the
Company') shareholders held on 28 April 2011 decided: 

 1. Report of the Company's auditor.

 Taken for the information (Appendix No.1).

 2. Approval of the Company and consolidated Group annual financial statements
for the year 2010. 

 Decided:

To approve the annual financial statements of the Company and consolidated of
the Group for the year 2010 (Appendix No.2). 

 3. Presentation of the Company annual report for the year 2010.

 Company annual report for the year 2010, prepared by the Company, assessed by
the auditors and approved by the Board of Directors is presented (Appendix
No.3). 

 4. Allocation of the profit (loss) of the Company of 2010.

 Decided:

To allocate the Company's profit of the year 2010 according to the draft of
profit allocation presented for the Annual General Meeting of Shareholders
(Appendix No.4). 

 5. Election of the Company's auditor.

 Decided:

To elect the audit company UAB “Ernst & Young Baltic“ (company code 110878442)
as the Company‘s audit enterprise for the period of two years: 2011 and 2012. 
To approve the annual remuneration for the audit services LTL 56 200 excl. VAT. 

To conclude the agreement with UAB “Ernst & Young Baltic“ for the audit
services for the years 2011 -2012, with the provided possibility in the
agreement, upon the decision of AB “Utenos trikotažas” general shareholder
meeting, to extend the agreement for the year 2013th .
