Lietuvos Dujos AB - Notification on material event

Regarding AB Lietuvos Dujos long-term borrowing and establishment of joint venture

Vilnius, Lithuania, 2012-07-05 11:54 CEST (GLOBE NEWSWIRE) -- 
  1. AB Lietuvos Dujos will borrow up to EUR 72 million for the refinancing of
     financial liabilities and for the investments financing of transmission
     activity, which, according to the requirements of legal acts, will be
     unbundled from AB Lietuvos Dujos by establishing a new transmission system
     operator company (TSO). Draft technical specification of the long-term loan
     is announced in the Central information system of public procurement (CVP
     IS).

  1. On 4 July 2012, the Board of Directors of AB Lietuvos Dujos adopted
     decision to establish together with the Finnish natural gas company Gasum
     Oy a joint venture to carry out the functions of a natural gas market
     operator. The authorized capital of the joint venture will be LTL 2,000,000
     (EUR 579,240). During the incorporation of the joint venture the Company
     shall acquire 66% of shares which price is LTL 1,320,000 (EUR 382,298).

This joint venture will carry out the activity of natural gas exchange, at the
first stage in Lithuania, later - in Baltic region.
