Amber Grid AB - Notification on material event

Notice of information on the material event regarding the consent of NCC for the transfer of AB Amber Grid shares

Issuer AB Amber Grid informs that on 13 May 2014 the National Commission for
Energy Control and Prices (budget institution, code: 188706554, address: Verkių
g. 25C-1, Vilnius, Lithuania; hereinafter - NCC) passed its resolution
“Regarding the implementation of the plan of control separation of AB Amber
Grid” No O3-125 (hereinafter - the Resolution). By passing the Resolution NCC,
acting in accordance with Part 2 of Article 3 of the Law Implementing the Law
Changing the Law On Natural Gas of the Republic of Lithuania, has consented to
the transaction regarding transfer of shares of AB Amber Grid, which is planned
to be concluded between UAB EPSO-G (code: 302826889, address: Juozapavičiaus g.
13, Vilnius, Lithuania; hereinafter - EPSO-G) and E.ON Ruhrgas International
GmbH (registration at the Court of Essen County, HRB 21974, registered address:
Brüsseler Platz 1 D-45131 Essen, Germany; hereinafter - E.ON Ruhrgas
International), as well as to the subsequent transactions whereby it is planned
to acquire shares of AB Amber Grid in accordance with the procedure stated in
the Law on Securities of the Republic of Lithuania.
