Panevezio Statybos Trestas AB - Notification on material event

Regarding approval of tender offer circular

On 27 September 2010 Panevėžio statybos trestas AB received a notice from its
shareholder, Panevėžio keliai AB, regarding the resolution of the Securities
Commission dated 23 September 2010 to approve the circular of the mandatory
non-competitive tender offer dated 17 September 2010 in order to buy all
remaining ordinary registered shares of Panevėžio statybos trestas AB. 
The formally offered price is 4.45 Litas (four Litas and forty five cents) per
1 (one) ordinary registered share of Panevėžio statybos trestas AB, its par
value being 1 (one) Litas (security ISIN code LT0000101446). 
The opening and closing dates for execution of the tender offer are as follows:
29 September 2010 and 28 October 2010. 
The details of the tender offer are provided in the attached circular (see the
attachment).
