Board of Directors of Sponda Plc resolved to pay a dividend of EUR 0.12 per
share

The Board of Directors of Sponda Plc ("Sponda" or the "Company") decided today,
based on the authorization granted to it by the Annual General Meeting of the
Company held on March 2o, 2017, on the payment of a dividend amounting to the
maximum amount in accordance with the authorization. A dividend of EUR 0.12 per
share will be paid to shareholders entered in the Company's shareholder register
maintained by Euroclear Finland Ltd on the dividend record date, June 7, 2017.
The dividend payment date is June 14, 2017. The payment of dividend is based on
the annual accounts adopted for the financial year 2016. In connection with its
decision-making, the Board of Directors has assessed the Company's liquidity and
financial position as required by the Companies Act.

In accordance with the terms and conditions of the tender offer for all the
issued and outstanding shares in Sponda as announced by Polar Bidco S.à r.l.
today, the payment of dividend shall reduce the offer price payable for each
share.
