Resolutions of the Annual Cooperative Meeting                                   

The OP Bank Group Central Cooperative held its Annual Cooperative Meeting in    
Helsinki on 27 March 27 2007. The Meeting adopted the financial statements for  
2006, granted discharge to those accountable and made the following             
appointments:                                                                   

Supervisory Board                                                               

The following Supervisory Board members of the Central Cooperative who were due 
to resign were re-elected: Mr Bo Storsjö, Mr Ola Eklund, Mr Paavo Haapakoski, Mr
Tapio Kurki and Mr Keijo Väänänen. As new members of the Board were elected Mr  
Pekka Ahvenjärvi, Mr Olli Lehtilä and Mr Harri Sailas. There are 36 members in  
the Supervisory Board.                                                          

Chairman of the Supervisory Board                                               

At its organising meeting, the Supervisory Board re-elected Mr Seppo Penttinen  
as chairman. Mr Paavo Haapakoski and Mr Jukka Hulkkonen were elected as deputy  
chairmen.                                                                       

Auditor                                                                         

Elected as auditor of the OP Bank Group Central Cooperative and the OP Bank     
Group for the financial year 2007 was KPMG Oy Ab, Authorised Public Accountants.
