Aktia Bank plc: Decision to start acquisition of own shares for share-based incentive schemes and remuneration

The Board of Directors of Aktia Bank plc has today decided to use the authorisation granted by the Annual General Meeting on 5 April 2017 to acquire the company's own shares for payment of the company's share-based schemes and/or the remuneration of members of thecompany’s administrative bodies. The acquisition of the company's own shares will commence on 9 November 2017 at the earliest after release of the interim report for the third quarter, and be terminated at the latest at the end of the Annual General Meeting in 2018. Start of acquisition requires permission by the Financial Supervisory Authority to aquire own shares.

Supported by the authorisation the Board of Directors has decided to acquire a total of maximum 185,000 A series shares, corresponding to approximately 0.4 % of the number of currently issued series A shares, for a total maximum sum of EUR 2 million.

The shares will be acquired through public trading on the Nasdaq Helsinki Oy exchange in one or several lots at the market price prevailing at the time of purchase using the company's unrestricted equity (retained earnings) and deviating from shareholders' pre-emptive subscription right to the company's own shares. The shares will be acquired and paid in accordance with the rules of Nasdaq Helsinki Ltd and Euroclear Finland Ltd.

Currently, Aktia Bank holds 52,440 Aktia A shares.
