Lietuvos Dujos - Acquisition or disposal of a block of shares

Regarding the Purchase and Sale of Shares of AB Lietuvos Dujos

Lietuvos Dujos informs that on 21 May 2014 Lietuvos Energija, UAB (registration
number 301844044, address of the registered office Žvejų St. 14, Vilnius,
Republic of Lithuania) and E.ON Ruhrgas International GmbH (legal entity
registration number HRB21974, address of the registered office: Brusseler Platz
1, 45131 Essen, Germany) concluded the agreement of purchase and sale of shares
of AB Lietuvos Dujos in accordance with which Lietuvos Energija, UAB purchased
from E.ON Ruhrgas International GmbH 113,118,140 (one hundred thirteen million
one hundred eighteen thousand one hundred forty) shares of AB Lietuvos Dujos AB
which make 38.9 per cent of the authorised capital of AB Lietuvos Dujos. 

After the transaction Lietuvos Energija, UAB will hold 56.6 per cent of shares
of AB Lietuvos Dujos, OAO Gazprom - 37.1 per cent of shares, small shareholders
- 6.3 per cent of shares.
