Opinion of the Board of AB Agrowill Group about the submitted mandatory non-competitive tender offer to buy shares of the company

The Board of AB Agrowill Group, having familiarised itself with the mandatory
non-competitive tender offer material presented to it by Baltic Champs Group,
UAB, Vretola Holdings Limited, Volemer Holdings Limited, UAB „Eastern Agro
Holdings“, UAB Sauledra, Romualdas Antanas Petrošius, Aldona Petrošienė, Jurgis
Petrošius, Marius Žutautas, Vladas Bagavičius and Domantas Savičius, in its
meeting held on 22 May 2014 made the following statement (attached).
