Notification on a change in ownership


Sponda Plc (“Sponda” or the “Company”) has, on 31 March 2016, received a
notification pursuant to the Finnish Securities Market Act (Section 9:5)
regarding the change in the ownership of Forum Fastighets Ab (“Forum
Fastighets”). Sponda has completed the rights offering announced on 29 February
2016 (“Offering”). In the Offering, Forum Fastighets subscribed for 37,219,116
new shares in the Company pursuant to the additional subscription commitment it
had granted as well as 15,961,747 new shares in the Company with acquired
subscription rights. In addition, Forum Fastighets has, on 31 March 2016,
acquired the entire capital stock of Oy Palsk Ab, Sponda’s largest shareholder
prior to the Offering, and the 42,163,745 shares owned by Oy Palsk Ab will be
transferred to the ownership of Forum Fastighets group. As a result, as from 1
April 2016, Forum Fastighet’s holding in shares of Sponda Plc has risen above
25%, and its current holding in Sponda Plc's shares is 28.07%. Föreningen
Konstsamfundet r.f. owns approximately 66% of Forum Fastighets.
