Regarding the conclusion of the agreement for subscription of shares of Įmonių grupė “ALITA”, AB and payment for the shares

Įmonių grupė “ALITA”, AB (a public limited liability company established and
functioning under laws of the Republic of Lithuania, legal entity code
302444238, address of the registered office at Miškininkų g. 17, Alytus, the
Republic of Lithuania) (hereinafter, the Company) and the investment company
FR&R Invest, IGA S.A. (code B161760, address of the registered office at 3a Rue
Guillaume Kroll, L-1882 Luxembourg) (hereinafter, the Investor) signed a share
subscription agreement for the subscription and acquisition of 16,874,000
ordinary registered shares of the Company LTL 1 (one) par value each, for the
issue price of LTL 5.3971841 per share. 

The total issue price of all the subscribed shares of the Company, i.e. LTL
91,072,084, was paid by offsetting homogeneous opposite claims of the Company
and the Investor arising out of the share subscription agreement and credit
agreement No. 06-046799-KL, dated 29 June 2006 (with later amendments), and the
claims assignment agreement, dated 2 August 2011.
