RESTRUCTURING OF COMMUTER AS, DOVRE GROUP’S BIGGEST SHAREHOLDER
(Chapter 9, Section 10 of the Finnish Securities Markets Act)

On October 24, 2017, Dovre Group Plc has received notifications from Commuter AS and Commuter 2 AS, both entities controlled by Frank Ween, pursuant to Chapter 9 Section 5 of the Finnish Securities Markets Act. 

Dovre Group Plc’s biggest shareholder Commuter AS holding 17.43 % of shares and voting rights in Dovre Group Plc, has on October 24, 2017 decided to merge with a newly established Norwegian company Commuter 2 AS (business identity code 919761474). All the shares, 17,461,509 pieces, which Commuter AS holds in Dovre Group Plc will be transferred to Commuter 2 AS due to the merger. The merger is estimated to come into effect before the end of 2017. 

Dovre Group Plc’s registered total number of shares is 100,168,769.
