Gubernija AB - Notification on material event

Regarding the decisions on the issues of the agenda of the ordinary General Meeting of Shareholders of the AB “Gubernija“

On 11-05-2009, the minutes of the ordinary General Meeting of Shareholders of
the AB “Gubernija“, which was held on 30-04-2009 at 1 p.m., were received.
During the meeting, the shareholders took the following decisions on the issues
of the agenda: 
1)Annual Statement of the Company for the year 2008. 
The Annual Statement of the Company was listened. 

2) Approval of the Annual Financial Accounts of the Company for the year 2008. 
The annual financial accounts of the company for the year 2008 were not
approved. 

3) Appropriation of the result of the year 2008. 
Voting was not performed due to the unapproved Annual Financial Accounts of the
Company. 

4) Selection of the audit enterprise for approval of the financial accounts for
the year 2009 and establishment of payment terms and conditions. 
A decision was not taken. 

5) Restoration of the amount of the equity capital of the Company up to the
amount required by laws of the Republic of Lithuania. 
A decision was not taken.
Besides, the following decisions on the following issues were taken in the
ordinary General Meeting of the Shareholders of the AB “Gubernija“: 

6) Approval of the decisions of the General Meeting of the AB “Gubernija“,
which was held on 12 February 2009. 
It was proposed to approve all decisions taken by the General Meeting held on
12 February 2009. 
The decision was taken. 

7) Approval of the recall of the Board members of the AB ”Gubernija”. 
It was proposed to approve that Romas Bubnelis, Diana Veleckiene and Vytautas
Liubinas were recalled from the Board of the AB “Gubernija” by the repeated
extraordinary General Meeting held on 12 February 2009. 
The decision was taken. 

8) Investigation and audit of financial activities of the AB ”Gubernija”. 
It was proposed to take a decision to apply to law enforcement authorities
regarding investigation of financial activities of the AB “Gubernija“ and to
apply to independent auditors regarding performance of the audit of the
financial activities of the AB “Gubernija” in the year 2007, 2008 and the first
quarter of the year 2009. 
The decision was taken.
