Draft resolutions of Gubernija AB Ordinary General Shareholders Meeting

Ordinary General Shareholders Meeting, to be held on 14 April,2010 at 1 P.M. 
at Gubernija AB office (Dvaro str. 179, Siauliai, 3th floor): 

1. Annual Report of the Company for the year 2009. 
The proposed draft decision: 
To hear the Annual Report of the Company for the year 2009.
The resolution on this issue is not adopted. 


2. Approval of the Annual Financial Accounts of the Company for the year 2009.
The proposed draft decision:
To approve the Annual Financial Accounts of the Company for the year 2009.

3. Appropriation of the result of the Company for the year 2009. 
The proposed draft decision:
To leave inappropriated the result of the Company for the year 2009. 

4. Approval of the Audit Committee. 
The proposed draft decision:
Performing article 52 of the Law on Audit implementing the provisions of
article 41 of the Directive 2006/43/EC, upon the requirement of the Securities
Commission, the AB “Gubernija“ proposes to elect the Audit Committee consisting
of three persons: Rolandas Lideikis, Audrone Neimantaite, Asta Mickuviene. 

5. On amendment of Gubernija AB Articles of Association and approval of new
wording of Articles of Association. 
The proposed draft decision:
In order to implement the decisions of the extraordinary General Meeting dated
30 December 2009 regarding reduction of the authorised capital, to approve the
proposal to register the new wording of the Articles of Association and
herewith to correct them considering the requirements of the 2-nd wording of
the classifier of the types of economic activities (CTEA 2-nd edition), which
has been valid since 1 January 2008. 

6. Selection of the audit enterprise for approval of the financial accounts for
the year 2010 and establishment of payment conditions. 
The proposed draft decision:
To select the Nepriklausomas auditas UAB, registration number of the enterprise
125167225, for inspection of the financial accounts for the year 2010 of the
Gubernija AB, to assign LTL 12100 (EUR 3504.41) including the VAT to pay for
the services of the audit enterprise.
